Terms of Service

1. Acceptance of Terms

By accessing or using the ConsentFirst platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ConsentFirst provides a cloud-based consent management and privacy compliance platform designed to help organizations comply with the Digital Personal Data Protection Act, 2023 (DPDP Act). The Service includes consent capture, storage, management, analytics, data subject request handling, and compliance tools.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate information, maintain the security of your credentials, and notify us immediately of any unauthorized access. You are responsible for all activities under your account.

4. Subscription and Billing

The Service is offered under the following terms:

• A free trial period of 14 days is available for new accounts.
• Paid subscriptions are billed monthly or annually as selected during sign-up.
• Pricing is as displayed on our Pricing page and may be updated with 30 days' notice.
• All fees are in Indian Rupees (INR) unless otherwise specified.
• Refunds are processed in accordance with our refund policy.

5. Data Processing

As a processor of your organization's data, we process personal data solely on your instructions and in accordance with our Data Processing Agreement (DPA). You remain the data fiduciary under the DPDP Act and are responsible for ensuring lawful bases for data processing.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to store or transmit malicious code
• Resell or sublicense the Service without written consent

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by ConsentFirst and is protected by Indian and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

8. Service Level Agreement

We commit to a 99.9% platform uptime for paid plans. Scheduled maintenance will be communicated at least 48 hours in advance. Service credits will be issued for downtime exceeding the SLA commitment as detailed in our SLA policy.

9. Limitation of Liability

To the maximum extent permitted by law, ConsentFirst shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, we will provide a 60-day data export window. After this period, your data will be securely deleted in accordance with our data retention policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
